This position supports all legal, corporate and regulatory issues related to Reinsurance businesses in Colombia, Andean Region and certain Caribbean jurisdictions. The Legal Counsel will be a part of the Latin America Legal Team, work collaboratively with other Legal & Compliance colleagues in the region, and report directly into the Head Legal Latin America. The Legal Counsel will assist in maintaining legal oversight for Reinsurance's LatAm legal entities and will help enable business growth while serving as a gatekeeper to prevent against legal, regulatory and reputational harm. The Legal Counsel will provide legal advice; collaborate with the business to understand legal needs, requirements and issues; source legal services internally and externally; and provide legal support on special projects. About the Role Act as primary Legal Counsel for all Colombia, Andean Region and the certain Caribbean jurisdictions; Analyse risk accurately, while considering the legal, commercial, and reputational impact of plans and decisions; Support Reinsurance business, including traditional and non-traditional reinsurance structures, and operations in LatAm; Understand local, regional and business unit operational structure and advise on legal risks; coordinate with internal stakeholders as appropriate (Tax, Regulatory, Risk Management and Compliance) and ensure legal entities are compliant with applicable laws and regulations; Draft clear legal documents such as contracts, opinions, internal corporate and service agreements and other legal documentation; Handle regulatory filings (registrations, authorizations, new products, etc.); Analyse LatAm law, proposed legislation or regulations that may influence Swiss Re and its Reinsurance operations; Handle corporate matters (Shareholders meetings minutes, notarized acts, etc.) of Reinsurance legal entities; Monitor and coordinate network of outside counsel in the region; Provide legal advice to underwriting, client markets and claims; Conduct internal trainings on legal, regulatory and compliance risks to management, senior managements and external providers; Assist business units in understanding and evaluating proposed laws and regulations and political context; Communicate in a clear and concise manner any proposed laws, regulations or other public policies which could affect Swiss Re and its operations in the region; Ensure ongoing reporting based on allocated responsibilities; Coordinate with governance teams to ensure appropriate governance and accurate reporting for the legal entities aligned to the region; Coordinate with Risk colleagues to help to identify and mitigate potential risks; Supervise the development of Legal and Permanent establishment; Support development procedures to ensure compliance with regulatory requirements as well as Swiss Re internal guidelines. About the Team The Reinsurance Legal Latin America Advisory team are both legal advisors and valued partners to our clients. We are team of 4 lawyers who seek to understand and meet the needs of our clients, while providing holistic legal support as a one stop shop for legal services in the region. Proficiency in Spanish and English required, Portuguese a plus; Outstanding ability to balance multiple projects and work in different lines of business; Maintaining a positive, resilient mindset while managing the demands of a target driven environment; Proven understanding of legal, regulatory issues around reinsurance programs; Experience in compliance risk management and knowledge of compliance matters (e.g. Data Protection, International Trade Controls and Economic Sanctions, AML, Anti-Trust and Competition, Market Conduct, Records Management and Retention, etc.), a plus; Ability to work with diverse teams across multiple functions; Strong interpersonal skills with successful experience in dealing with external stakeholders; Good judgment and attention to detail; Positive attitude; Preparedness to travel, travel unlikely to exceed 10%; Advanced Word and Power Point skills.
