Our client is a renewable energy producer, specialized in the development, construction, and operation of renewable and storage projects.
With more than 1000 employees, it is present in more than 12 countries in Europe, Latin America, and the US.
They are currently searching for a Legal Counsel for the office in Colombia, to provide legal support for the development of PV greenfield projects in the country, including all the legal activities associated with that.
Some responsibilities include: 1.
Assist in the preparation of documentation for partnerships with third parties on development projects in the region.
2.
Participate and contribute to the negotiation and preparation of legal documents for bid submittal, including mark-ups of project agreements and EPC Contract for a specific project.
3.
Participate and contribute to the negotiation of all partnership agreements, project agreements, and EPC documents for projects in which the group is awarded preferred bidder status.
4.
Participate in and assist the finance team in the legal support for the financing of new projects and ensure timely completion of the related legal documents through financial close.
5.
Assist in security creation as per the financing agreements/other agreements.
6.
Provide general advice on contract management and all legal matters as they arise (including regulatory and local law issues in coordination with local counsel) during the development phases of a project.
7.
Monitor trends in construction, infrastructure, and electricity law among others and agreements related to the development of independent power projects.
8.
Manage the contracts of the projects under operation.
9.
Assist with drafting board resolutions, powers of attorney, and other ancillary corporate documents, as required, to ensure that such company is set up as per legal procedures.
10.
Contribute to the implementation and use of the document management system.
11.
Ensure compliance with policies and procedures issued by the group, monitor and report on non-compliance with policies or procedures, pending or threatened violations of law or ethical values of the group.
12.
Awareness and reporting of ethical and human rights issues, if any, as they arise.
13.
Encourage a culture of compliance with laws and integrity in the group.
14.
Control the use, quality, and cost of external legal counsel on development projects.
The perfect candidate has a law degree, a good level of English, and at least 5 years of experience in similar roles, ideally in energy companies.
The role is based in Medellin.
